Supplier Code of Conduct

Objective

RiverStone International is committed to conducting business ethically, responsibly and sustainably. Our aims are to:

  • Uphold high standards of well-being for all individuals, including employees and everyone involved in the supply chain
  • Conduct business responsibly, in compliance with all legal, regulatory, and ethical standards
  • Reduce our environmental impact by implementing sustainability initiatives whenever feasible

This Supplier Code of Conduct (“Code”) outlines the expectations RiverStone has for all suppliers (companies that provide goods or services as well as manufacturers of such goods or services, incl. the companies’ employees, agents and subcontractors) in order to maintain an ethical and sustainable partnership. By continuing to do business with RiverStone, suppliers are expected to operate in a manner consistent with the principles outlined in this Code. It is the supplier’s responsibility to ensure that its employees, subcontractors, and any business partners also understand and adhere to these standards.

Compliance with laws and regulations

All suppliers shall undertake their business in accordance with all applicable legal and regulatory requirements in the countries in which they operate. This shall include:

Anti-bribery and corruption

  • Comply with all applicable anti-bribery and anti-corruption laws
  • Maintain appropriate policies, procedures and controls to prevent bribery, corruption, and other unethical practices

Money laundering

  • Maintain adequate policies and procedures to detect and prevent suspicious activities which may be involved in laundering money
  • Take appropriate steps to know the identity of all parties they do business with

Sanctions

  • Ensure compliance with the following Sanction regimes: UK, US, EU, Bermuda
  • Maintain an appropriate Sanctions risk management framework
  • Promptly inform RiverStone in the event of any known sanction breach of any of the above regimes

Information security and business resilience

  • Comply with all applicable data protection laws
  • Maintain appropriate security controls to protect RiverStone’s data including personal and sensitive information
  • Promptly inform RiverStone in the event of any actual security incident or data breach
  • Use AI responsibly and in line with current regulatory requirements

Human rights

All suppliers must respect universal principles on human rights and shall conduct business fairly and ethically, avoiding any form of discrimination or unfair treatment. This shall include:

  • Comply with all applicable employment laws and regulations, including those related to human rights
  • Prohibit activities that may support or involve slavery or human trafficking, including the use of forced labour, taking the appropriate steps to ensure that their own supply chain does not support such activities
  • Prohibit the use of child labour. Ensure workers from the minimum permitted age in each jurisdiction are employed in line with relevant laws
  • Pay employees at least the legal minimum wage or the appropriate prevailing industry wage, whichever is higher (International Labour Organisation Conventions 26 and 131)
  • Comply with local laws on maximum weekly hours, overtime limits and rest days ensuring overtime is voluntary and compensated at the legally required rate
  • Provide equal opportunities and prevent discrimination based on any protected characteristic
  • Promote diversity and inclusion within your own organisation and supply chain
  • Ensure a safe and healthy working environment

Whistleblowing

  • Maintain a confidential whistleblowing process for employees to report concerns consistent with local laws and practices
  • Protect whistleblowers from retaliation and investigate all reports thoroughly

Environmental protection

RiverStone has committed to emissions reductions in line with the Science-Based Targets initiative (SBTi) for its scope 1 and 2 emissions and the emissions associated with its investments.

Based on this RiverStone encourages its suppliers to take steps to reduce the risk associated with climate change in order to protect the environment. This includes, at a minimum, complying with all applicable environmental laws and regulations in their jurisdiction, including:

  • Measuring and reducing carbon emissions in line with the Greenhouse Gas Protocol
  • Improving energy efficiency and implementing energy-efficient practices and technologies
  • Minimising waste and promoting recycling of both hazardous and non-hazardous waste
  • Conserving water resources and treating wastewater appropriately
  • Reducing single-use plastics and paper consumption

Compliance with this code

Failure to comply with this code may result in corrective action, which could result in the termination of the business relationship.
